Commercial Agreement of Sale
All sales of commercial refrigeration hardware manufactured by Gongly are governed by these Terms of Service. An order is confirmed and scheduled for production only upon receipt of the deposit payment (standard terms: 30% deposit, 70% balance paid before dispatch). The legal title of goods passes to the buyer upon receipt of full payment.
Limitation of Commercial Liability
Gongly designs and manufactures equipment for commercial operations. We are not liable for indirect, incidental, or consequential damages resulting from equipment malfunction or delay in delivery. This includes, but is not limited to: loss of business revenue, spoiled food ingredients, local utility charges, or restaurant down-time. Our liability is strictly limited to the repair or replacement of parts covered under our Warranty Program.
Installation and Electrical Safety
Buyers are solely responsible for ensuring that all electrical outlets, breaker capacities, and plumbing connections are installed in accordance with national safety codes and the specifications outlined in our manuals. Operating equipment on unstable electrical lines, sharing circuits, or using incorrect voltage phases voids all manufacturer warranty and liability.
Governing Law and Dispute Resolution
These Terms of Service and any sales agreements shall be governed by and construed in accordance with the laws of Guangdong Province, China. Any disputes arising from sales, shipping, or warranty issues that cannot be resolved through mutual consultation shall be submitted exclusively to the jurisdiction of the courts in Jiangmen, China.
